Terms of Service
Version 2026-10-16.3. Last updated: October 16, 2026
1. Agreement
These Terms of Service (the "Terms") are a binding agreement between you and Technolify("Trademetry", "we", "us"), a Nevada corporation doing business in California. They govern your access to and use of the Trademetry platform, including the web dashboard, client portal, APIs, hosted trading terminals, copy engine, connected integrations and related services (together, the "Service"), and the trademetry.app website.
By creating a workspace, ticking the acceptance box, or using the Service, you agree to these Terms, the Payment Terms, the Risk Disclosure and the Privacy Policy, each of which forms part of this agreement. If you do not agree, do not use the Service.
If you accept on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" means that organization. You must be at least 18 years old and legally able to enter contracts where you live.
Electronic acceptance and records. You agree that ticking an acceptance box, clicking to accept, and typing your name are your electronic signature and have the same effect as a handwritten signature, and that this agreement may be formed and kept electronically. We keep a record of each acceptance, including the exact version and text accepted, the date and time, the account and person accepting, the IP address and device information. You agree those records are admissible and are evidence of your acceptance.
Sanctions. You confirm that you are not located in, organized in, or ordinarily resident in a country or region subject to comprehensive sanctions or embargoes by the United States, the United Nations, the European Union or the United Kingdom, that you are not named on, or owned or controlled by anyone named on, any of their sanctions lists, and that you will not use the Service, or connect accounts, for the benefit of any such person or place. We may refuse, suspend or end the Service where we reasonably believe this is not met.
2. What Trademetry is, and is not
Trademetry is software. It lets you connect trading accounts you own or are authorized to manage, monitor them, and automatically replicate orders from one account (a "leader" or "parent") to others ("followers") according to rules you configure.
Trademetry is not a broker, dealer, futures commission merchant, introducing broker, investment adviser, commodity trading advisor, commodity pool operator, fund manager or bank. We do not hold, receive or transmit your money or securities; your funds stay with your broker at all times. We do not choose which accounts you copy, recommend strategies, or tell you what to trade. Nothing in the Service, including analytics, statistics, forecasts, rankings or example configurations, is investment, financial, trading, tax or legal advice, or an offer or solicitation to buy or sell any instrument. Every trading decision, including the decision to copy a particular account and the risk settings used, is yours.
3. Your trading accounts and credentials
To operate, the Service must log in to your trading accounts and place, modify and close orders on them. By connecting an account you authorize us, as your technology provider, to do exactly that in accordance with your configuration, and you confirm that:
- you own the account, or have the account holder's written authorization to connect it and have trades placed on it;
- using automated trading, copy trading, expert advisors and third-party hosting on that account is permitted by your broker's terms (some brokers restrict or prohibit them, and the consequences of a breach are yours);
- the credentials you provide are accurate and you will keep them current.
We encrypt stored credentials and use them only to provide the Service. You are responsible for all activity under your workspace and its users, for keeping your own login details secure, and for telling us promptly at [email protected] if you suspect unauthorized access.
4. Your responsibilities when copying trades
You are solely responsible for:
- choosing which accounts to copy and configuring every copier, including risk type, lot sizing, multipliers, symbol mappings, filters, modes and limits;
- checking that each configuration behaves as you expect, preferably first on a demo account or with small size;
- monitoring your accounts and open positions, maintaining sufficient margin, and intervening directly at your broker when needed;
- every order placed on your accounts, whether placed by you, by the Service following your configuration, or by any expert advisor you run.
The Service is a tool to assist you, not a substitute for supervising your own accounts. Do not rely on it as your only means of managing risk.
5. Execution limitations
Copying depends on systems we do not control: brokers' servers, the MetaTrader platform and other trading platforms, internet connectivity, data centers and third-party software. Copied trades can and sometimes will be delayed, executed at a different price than the leader (slippage), partially filled, rejected, duplicated, rounded to a different lot size, opened without the intended stop loss or take profit, or not copied or not closed at all. Leader and follower accounts may have different prices, spreads, swaps, contract sizes, symbols, leverage and trading hours, so results will differ, sometimes significantly.
We work to make the Service reliable but do not guarantee that it will be uninterrupted, timely, error free or that any trade will be copied, modified or closed. We may perform maintenance, restart hosted terminals, or apply updates, which can briefly interrupt copying. Unless we have agreed a service level with you in a signed written agreement, no uptime or execution commitment applies.
You use copy trading solely at your own risk. If a trade is not copied, is copied late, partially or more than once, is not modified, or is not closed, for any reason, including a fault in the Service, any resulting loss is yours and not ours, and you agree not to hold Trademetry responsible for it.
6. If you serve your own clients
Some customers use the Service to manage or copy into accounts belonging to their own clients or investors, to invoice those clients, or to operate pooled arrangements. If you do:
- you are solely responsible for obtaining and keeping every license, registration and exemption that your activity requires in every relevant jurisdiction, and for complying with securities, commodities, investment, anti-money-laundering, consumer protection and tax laws;
- you are responsible for your own agreements, disclosures, fee terms and risk warnings with your clients, and for obtaining their authorization before connecting or trading their accounts;
- your clients are your customers, not ours. We have no advisory, fiduciary or contractual relationship with them, and you will not represent otherwise;
- performance fees, statements and investor figures the Service calculates are produced from data you and your brokers supply, and you are responsible for checking them before relying on or sending them.
7. Acceptable use
You will not, and will not allow anyone else to:
- use the Service for unlawful activity, fraud, market manipulation, or to trade accounts you are not authorized to trade;
- use the Service to offer regulated services without the authorization required;
- interfere with, overload, probe or bypass the security of the Service, or access other customers' data;
- reverse engineer, resell, sublicense or provide the Service to third parties except as its features expressly allow (for example, your own client portal);
- upload malicious code, or run software on hosted terminals that harms the Service or other customers;
- scrape this website or the Service by automated means, or submit false information.
Fair use. Plans are priced for normal use. If your use places an unreasonable load on the Service or affects other customers, for example an excessive volume or frequency of orders, API requests, connected accounts, hosted terminals or data, we may ask you to reduce it, move you to a suitable plan, or throttle, limit or suspend the affected features or accounts. Where reasonable we will tell you first.
8. Fees
Paid plans are billed as described in the Payment Terms. Fees are payable regardless of your trading results.
9. Your data
You keep ownership of the data you and your brokers put into the Service ("Customer Data"). You grant us a limited license to host, process and display it as needed to provide, secure and support the Service. We may use aggregated, de-identified usage data to operate and improve the Service. How we handle personal information is described in the Privacy Policy. Where you enter personal information about your own clients, you are responsible for having a lawful basis to do so and for providing them any required notice.
You are responsible for keeping your own records of trades and statements. The Service is not a system of record for regulatory or tax purposes; your broker's statements are.
10. Our intellectual property
The Service, its software, design and content are owned by us or our licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. If you send us feedback, we may use it without obligation to you.
11. Third-party services
The Service works with services we do not control, including brokers, trading platforms, payment processors, email providers and integrations you enable. Your use of them is governed by their own terms, and we are not responsible for their acts, omissions, availability or data handling.
12. Free plans and new features
Free plans, trials, and features labelled beta, preview or coming soon are provided for evaluation, may change or be withdrawn at any time, and are provided without any commitment of support or availability.
One trial and one free allowance per customer. Each person, business and payment method may receive only one free trial and one set of free included accounts. You may not create additional workspaces, identities, email addresses or payment methods to obtain further trials, extend a trial, or multiply free allowances. If we reasonably believe this has happened, we may end the trial or free allowance, merge or suspend the workspaces involved, or bill the excess accounts at the standard price, without prior notice.
13. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND THIS WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, OR THAT ANY TRADE WILL BE COPIED OR EXECUTED AS INTENDED. WE DO NOT WARRANT ANY TRADING RESULT, PROFIT, OR THAT ANY ANALYTICS, STATISTICS OR FORECASTS ARE ACCURATE OR COMPLETE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TRADEMETRY NOR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS OR SUPPLIERS WILL BE LIABLE FOR: (A) ANY TRADING LOSSES, INCLUDING LOSSES FROM TRADES COPIED, NOT COPIED, DELAYED, PARTIALLY COPIED, DUPLICATED, OR NOT CLOSED; (B) LOSS OF PROFITS, REVENUE, OPPORTUNITY, GOODWILL OR DATA; (C) MARGIN CALLS, STOP-OUTS, OR BROKER ACTIONS; (D) CLAIMS BY YOUR CLIENTS OR INVESTORS; OR (E) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, IN EACH CASE HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING ANY LOSS CONNECTED WITH THE COPYING OF TRADES, WILL NOT EXCEED THE SUBSCRIPTION FEE YOU PAID US FOR ONE (1) MONTH OF THE SERVICE, MEANING THE MOST RECENT MONTHLY FEE PAID BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE PAID NO FEES (FOR EXAMPLE, ON A FREE PLAN), OUR TOTAL LIABILITY WILL NOT EXCEED THE STANDARD PRICE OF ONE (1) MONTH OF THE FREE PLAN'S INCLUDED ACCOUNTS AS IF THEY WERE PAID, CALCULATED AT THE PRICES ON OUR PRICING PAGE AT THE TIME OF THE EVENT (AS OF THE DATE OF THESE TERMS, TWO COPIER ACCOUNTS AT US$4.00 EACH, OR US$8.00).
These limits are a fundamental part of the bargain: our prices reflect them, and we would not offer the Service without them. Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you; in that case our liability is limited to the smallest amount the law permits. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
15. Indemnity
You will defend, indemnify and hold harmless Trademetry and its owners, officers, employees and contractors from any claims, losses, liabilities, fines, costs and expenses (including reasonable legal fees) arising out of: your use of the Service; trades placed on accounts you connect; your breach of these Terms or of law; your broker agreements; or any claim by your clients, investors, or anyone whose account or data you connected or entered.
16. Suspension and termination
You may stop using the Service and cancel at any time as described in the Payment Terms. We may suspend or terminate your access, in whole or in part, if you breach these Terms, fail to pay, create a security or legal risk, or if we are required to by law. Where reasonable we will give notice first.
Suspending or terminating the Service stops further copying. It does not close positions at your broker: open positions remain open, and you are responsible for managing them directly. After termination we may delete your Customer Data after 30 days; ask us before then if you need an export. Sections that by their nature should survive termination (including 2, 5, 6, 9, and 13 to 19) survive.
17. Changes to these Terms
We may update these Terms. The version and date above change when we do. For material changes we will notify you in the Service or by email at least 14 days before they take effect, except where a change is required by law or addresses security, in which case it may apply sooner. We may ask you to accept the updated Terms; if you continue to use the Service after they take effect, you accept them. If you do not agree, stop using the Service and cancel.
18. Governing law and disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. Before starting any formal proceeding, you agree to contact us at [email protected] and try in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in the County of Los Angeles, California, and both parties consent to that jurisdiction. To the extent permitted by law, claims may be brought only on an individual basis and not as a plaintiff or class member in any class, consolidated or representative action, and any claim must be brought within one (1) year after it arises.
19. General
- Entire agreement. These Terms and the documents they reference are the entire agreement about the Service and replace prior understandings. If a signed written agreement between you and us conflicts with them, the signed agreement controls. For billing matters, the Payment Terms control.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not responsible for failures caused by events beyond our reasonable control, including broker or platform outages, internet or power failures, cyberattacks, government action and natural events.
- Severability and waiver. If any provision is unenforceable, the rest remains in effect and the provision is enforced to the maximum extent permitted. Not enforcing a provision is not a waiver.
- Notices. We may send notices to the email address on your workspace or in the Service. You may send notices to [email protected] or to P.O. Box 1096, Sierra Madre, CA 91025, USA.
- Relationship. We are independent contractors. Nothing here creates a partnership, agency, fiduciary or employment relationship.
